The terms, in plain English.
These cover the free tools on this site now, and the paid plan when it opens. The deal is simple: Debenda checks your paperwork and does the math, and you decide what gets sent.
Who you’re dealing with
These terms are between you and Debenda. Using the site means you accept them. Questions go to nadav@debenda.com.
Not legal advice
Debenda is software. It isn’t a law firm, and nothing it shows you is legal advice. Using it doesn’t make anyone your lawyer. If you need advice on a contract, a dispute or a claim, talk to a lawyer you hire.
Not a collection agency
Debenda doesn’t collect debts. It never contacts the government, or anyone else, to ask for money on your behalf. It never receives, holds or moves your money, and it doesn’t buy, finance or broker your invoices. Payments go from the government straight to you.
You send everything
You review and send every letter and every WAWF submission yourself. Debenda never submits anything to WAWF, never writes to a contracting officer or pay office, and never signs anything for you.
A letter from Debenda is a template filled in from your own entries. Read it, change what needs changing, and send it under your own name. Once you send it, it’s your letter.
Not for certified claims
Don’t use Debenda’s figures, findings or letters inside a certified claim under the Contract Disputes Act. A contractor’s claim over $100,000 has to be certified. Someone who can bind your company signs that the claim is made in good faith, that the supporting data are accurate and complete as far as they know, and that the amount reflects what they believe the government is liable for (41 U.S.C. 7103(b)).
That signature has to rest on your own books and your own advisers. When a payment problem turns into a claim, Debenda’s part ends and a lawyer’s begins.
Estimates, not promises
Debenda’s answers come from what you enter and from published sources: the regulations each rule cites, and the Prompt Payment interest rate Treasury publishes. If an entry is wrong, the answer will be wrong too. Anything marked ESTIMATE has no published statistic behind it.
We test the math and publish how, and we fix errors when we find them. But we don’t promise any result. Only the government approves payment, and it decides what it pays and when. Beyond what this page says, Debenda comes as is, with no other warranty, as far as the law allows.
Limits on liability
Debenda isn’t responsible for a rejected invoice, a late or missed payment, interest or a penalty you didn’t collect, or lost profits. If we’re ever liable to you anyway, the most we’ll owe is what you paid Debenda in the 12 months before the problem, or $100 if you haven’t paid us anything. Where the law doesn’t allow a limit like this, it applies only as far as the law allows.
A flat price
The paid plan is a flat monthly subscription (see pricing). It’s never a percentage, never a success fee and never a share of anything you recover. Billing and cancellation terms will be on this page before the plan opens.
If it isn’t working for you
Tell us. What we can offer is a service credit of up to two months. It never depends on, and is never measured against, the money you recover.
Acceptable use
- Don’t enter classified information or CUI. Debenda doesn’t need either.
- Only enter information you have the right to use.
- Don’t use Debenda to mislead the government or anyone else.
- Don’t try to break, overload or get around the site’s security.
We can suspend access for anyone who doesn’t follow these.
Changes
We’ll update these terms as Debenda changes. When we do, the date at the top changes, and paid customers get an email before a change applies to them. Keep using Debenda after a change and the new terms apply.
